Corporate Governance 企業管治 31 貿易通電子貿易有限公司 二零二四年中期報告 遵守企業管治守則（「企業管治守則」） 本公司致力維持高水平的企業管治，而董事會深信 良好企業管治乃有效及妥善管理本公司之基礎及符 合持份者利益。本公司已應用良好企業管治原則， 致力確保全面遵守上市規則附錄 C1 所載企業管治守 則第二部分的守則條文（「守則條文」）。本公司確認， 於截至二零二四年六月三十日止六個月期間已遵守 所有適用守則條文。 董事會 於本中期報告日期，本公司由董事會領導及管治， 董事會成員包括兩名執董、三名非執董（包括董事會 主席）及四名獨董。董事會監察本公司的整體管理及 營運，旨在提升本公司普通股股權持有人（「股東」）價 值。 本公司與執董訂立僱傭合約，而本公司與非執董及 獨董訂立服務合約。每份服務合約均為期三年，且 可以由本公司或相關董事透過給予一個月書面通知 或支付代通知金予以終止。 Compliance with the Corporate Governance Code (the “CG Code”) The Company is committed to a high standard of corporate governance and the Board believes that good corporate governance is fundamental to effective and proper management of the Company in the interests of our stakeholders. The Company has applied the principles of good corporate governance and made every effort to ensure full compliance with the code provisions (the “Code Provisions”) in Part 2 of the CG Code contained in Appendix C1 to the Listing Rules. The Company confirms that it has complied with all applicable Code Provisions during the six months ended 30 June 2024. The Board As at the date of this Interim Report, the Company is led by and controlled through its Board which comprises two EDs, three NEDs, including the Chairman of the Board, and four INEDs. The Board oversees the overall management and operations of the Company with the objective of enhancing value of ordinary equity shareholders of the Company (“Shareholders”). There are employment contracts between the Company and the EDs and service contracts between the Company and the NEDs and INEDs. Each service contract is for a period of three years and can be terminated by the Company or the relevant Director by giving one month’s notice in writing or payment in lieu of notice.
